"Owner," "Us," "We," "Our" refers to Cortiqa Health Pvt. Ltd., operating as CoHeal.ai, together with its employees and affiliates. "You," "User," "Customer" refers to the organization (and its authorized administrators and users) that has agreed to these Terms or a related order form. "Services" refers to the CoHeal.ai enterprise platform, including the admin console and any employee-facing tools made available as part of a customer's subscription.
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accessing the Services on behalf of an organization, you confirm you have authority to bind that organization. Additional terms specific to your organization's subscription (pricing, term, support levels) are set out in your order form or master subscription agreement, which takes precedence over these Terms in the event of a conflict.
CoHeal.ai is an enterprise software-as-a-service platform that helps HR, Legal, and Internal Committee (IC) teams manage POSH (Prevention of Sexual Harassment) compliance, workplace culture analytics, and employee wellbeing programs. The Services are made available to organizations under a paid subscription; we do not operate a consumer online store and do not sell physical products.
Subject to your organization's active subscription and these Terms, we grant you a non-exclusive, limited, non-transferable, revocable right to access and use the Services solely for your organization's internal business purposes. This license ends automatically if your organization's subscription ends or these Terms are terminated. You may not attempt to resell, sublicense, or provide the Services to third parties outside your organization without our written consent.
The Services, and all associated software, design, and content provided by us, are the property of Cortiqa Health Pvt. Ltd., including all copyrights, trademarks, trade secrets, and other intellectual property rights. You may not copy, reproduce, distribute, or create derivative works from the Services without our express written permission. Content your organization or its employees submit into the platform (such as case records, survey responses, or policy documents) remains your organization's property.
Access to the Services is provided under a separate pricing schedule and Master Subscription Agreement ("MSA") entered into with your organization. Pricing, billing cycle, payment terms, service levels, and term are governed exclusively by that MSA and any associated order form, not by this public Terms page. In the event of any conflict between these Terms and your organization's MSA, the MSA governs for commercial matters.
You agree not to use the Services to: violate any applicable law; harass, abuse, or threaten others; infringe on intellectual property or privacy rights; upload viruses or malicious code; gain unauthorized access to any part of the Services or another organization's data; interfere with the Services' normal operation; or use the Services for any purpose other than the legitimate management of POSH compliance, culture, and wellbeing programs for your own organization. We may suspend access for conduct that violates this section.
By using the Services, customer administrators consent to receive service-related communications by email (for example, case notifications, product updates, and support responses). These communications relate to your organization's active use of the Services and are not marketing spam.
Our collection and use of information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference.
The Services help your organization manage POSH compliance workflows, but they do not constitute legal, HR, or professional advice, and using the Services does not replace consultation with qualified legal or HR counsel on any specific case or compliance matter. Decisions about how to handle any individual complaint or investigation remain your organization's responsibility.
You may not reverse-engineer, decompile, or attempt to derive the source code of the Services; attempt to breach or circumvent any security or authentication measures; or attempt to access data belonging to another customer organization.
While we maintain security measures appropriate to the sensitivity of the data involved (see our Privacy Policy), your organization is responsible for managing its own user access, permissions, and account credentials within the platform.
You agree to defend and indemnify Cortiqa Health Pvt. Ltd. and its affiliates against claims and demands, including reasonable attorneys' fees, arising from your organization's misuse of the Services or breach of these Terms.
The Services or our website may link to third-party sites or services. We are not responsible for the content or practices of those third parties.
We may update these Terms from time to time. Material changes affecting an active subscription will be communicated to customer administrators; continued use of the Services after changes take effect constitutes acceptance.
These Terms, together with your organization's order form or subscription agreement and our Privacy Policy, constitute the entire agreement between the parties regarding use of the Services and supersede prior agreements on that subject.
We may need to interrupt access to the Services for maintenance or emergency reasons. Where practical, we will provide advance notice of planned maintenance. Any uptime or service-level commitment applicable to your organization is set out in your MSA, not this page.
We may suspend or terminate access to the Services for material breach of these Terms, including unlawful use or repeated violations of Section 7 (Acceptable Use), subject to any notice or cure period set out in your subscription agreement. Your organization may terminate as provided in its subscription agreement. Fees paid are non-refundable except as your subscription agreement provides. Provisions that by their nature should survive termination (e.g., intellectual property, indemnification, limitation of liability) continue to apply.
The Services are provided "as is" and "as available." We do not warrant that the Services will be uninterrupted, error-free, or fully secure, and we disclaim implied warranties of merchantability and fitness for a particular purpose to the maximum extent permitted by law. We do not guarantee that use of the Services will, by itself, ensure legal or regulatory compliance — the Services are a tool to support your organization's own compliance program.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages arising from use of the Services. Any cap on direct damages, and any exceptions to it, are set out exclusively in your organization's MSA — this page does not itself state a liability figure, since that is a commercial term negotiated separately with each customer.
Governing law & jurisdiction: These Terms are governed by the laws of India, and the courts at Bangalore, India have exclusive jurisdiction over any dispute arising from these Terms.
Assignment: You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
Severability: If any provision is found invalid, the remaining provisions continue in full force.
No waiver: Our failure to enforce a provision is not a waiver of that or any other provision.
No agency: Nothing in these Terms creates a partnership, agency, or joint venture between the parties.
Force majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control.
